1. Scope
These Terms govern use of this public website and related marketing, demonstration, enquiry and documentation services. A separate written agreement, order form, subscription agreement, statement of work or other commercial contract may apply to the Neocortex software or professional services. Where a signed commercial agreement conflicts with these Terms, that agreement prevails for the contracted services.
2. Acceptable use
You must use the website lawfully and must not attempt to disrupt, reverse engineer, scrape in a manner that unreasonably burdens the service, bypass security controls, upload malicious material, impersonate another person, infringe rights, or use the website to facilitate unlawful activity.
3. Intellectual property
Subject to third-party rights expressly identified on the site, the Neocortex name, original software, content, designs, graphics, documentation, text, layouts and other materials are owned by or licensed to Digital Response and are protected by applicable intellectual property laws. No ownership is transferred to you by viewing or using the website.
4. Demonstrations and information
Demonstrations, examples, screenshots, product descriptions, roadmaps, architecture diagrams, pricing indications and other public materials are provided for general information and may change. They do not constitute a binding offer unless expressly stated in a written commercial agreement.
5. Third-party services
Neocortex can integrate with third-party products and services. Those services are controlled by their respective providers and may have separate terms, licences, availability, pricing, security controls and privacy practices. We do not adopt or guarantee third-party terms or services merely by integrating with, linking to, or displaying them.
6. AI and professional judgement
AI-generated or automated outputs can be incomplete, incorrect, outdated, biased or unsuitable for a particular purpose. You remain responsible for reviewing outputs and making decisions. 7. Availability and security
We aim to operate reliable services but do not promise uninterrupted availability, error-free operation, uninterrupted internet connectivity, or that every security risk can be eliminated.
8. Liability
To the maximum extent permitted by law, we exclude liability for indirect, consequential, incidental, special or exemplary loss and for loss of profits, revenue, goodwill, anticipated savings or business opportunity arising from use of the public website or reliance on public materials. To the extent liability cannot be excluded, it is limited to the minimum extent permitted by applicable law and any limitation of liability agreed in a separate commercial contract.
Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified, including applicable Australian Consumer Law rights.
9. Indemnity
To the extent permitted by law, you are responsible for claims, losses and reasonable costs arising directly from your unlawful use of the website, your breach of these Terms, or your infringement of another party's rights. This clause does not apply to the extent the relevant loss was caused by our own unlawful conduct and does not limit rights that cannot lawfully be limited.
10. Changes and suspension
We may change, suspend or discontinue parts of the website where reasonably necessary for security, maintenance, product evolution or legal compliance. Material commercial changes will be handled under the applicable commercial agreement.
11. Governing law
These Terms are governed by the laws of Queensland, Australia. Subject to any mandatory law, the courts of Queensland have jurisdiction.
